ABOUT AIRWALLEX Airwallex is the AI-native financial operating system for a real-time, intelligent economy. More than 675,000 businesses, including McLaren Racing, Qantas, SHEIN, and TikTok, use us, directly or through our platform partners, to run their financial operations or build and monetize financial products of their own. We started in Melbourne in 2015 to build the infrastructure global commerce runs on. We're the regulated backbone behind global payments: not by accident, but by design. A decade plus, 85+ licenses, and a financial infrastructure spanning North America, Europe, the Middle East, and Asia-Pacific. We're co-headquartered in San Francisco and Singapore, with more than 2,300 people across 27 offices. We hire builders with founder-level energy, people who move fast with good judgment, dig in with real curiosity, and make calls from first principles rather than waiting to be told what to do. You'll help keep our global entity structure compliant, well governed, and ready to support the company's expansion plans. Working closely with the Head of Corporate Legal, Corporate Development & Investor Relations, Finance, Tax, People & Talent and Regulatory Legal, you'll oversee board and committee governance, entity lifecycle management, statutory compliance and equity administration. - Build and own the corporate secretarial function for Airwallex's Americas entities. - Manage the full company secretarial and corporate governance lifecycle across licensed entities, including incorporations, restructurings, capital injections, wind-downs, statutory and regulatory filings, and entity records. - Organize and facilitate board, committee and general meetings end to end, preparing agendas, resolutions, minutes and presentation materials while tracking follow-ups and action items. - Partner with the Head of Corporate Legal, Corporate Development & Investor Relations, Finance, Tax, People & Talent, Regulatory Legal, directors and external providers to keep governance operations accurate, timely and scalable. - Support Options and RSU administration, shareholder matters and governance improvements as Airwallex expands across jurisdictions. You'll work from our New York or San Francisco office on Mondays, Wednesdays and Thursdays. WHAT WE'RE LOOKING FOR ESSENTIALS - 5+ years of experience in company secretarial, corporate governance or related roles within financial services, fintech or another regulated industry. - A proven track record supporting boards and senior management in a global or regional corporate structure, managing competing priorities across multiple time zones. - Experience managing multi-jurisdictional entities and complex group structures, including entity incorporation, restructuring and statutory compliance across different legal regimes. - Strong knowledge of corporate governance frameworks, directors' duties and regulatory compliance requirements across multiple jurisdictions. - Excellent written and verbal communication skills, with the ability to prepare clear, concise board materials and work effectively with directors, regulators and cross-functional stakeholders. - Exceptional attention to detail, sound judgment and discretion when handling confidential board and shareholder matters. PREFERRED - A professional company secretary qualification, such as ACG, FCG, ICSA, CGI, ACIS or CCS, or qualification as a lawyer. - Experience in a high-growth fintech, payments or technology company, ideally with exposure to cross-border structures and licensed entities. - Proficiency with board portal tools such as Diligent and entity management systems, with an interest in using technology to improve governance processes. - Exposure to public-company readiness or pre-IPO governance workstreams. - Experience supporting ESOP or equity plan administration, share transfers and related corporate actions. - Familiarity with key Airwallex jurisdictions, including Australia, Hong Kong, Singapore, the UK and the US. YOU'LL THRIVE HERE IF - You own the outcome and you don't wait for permission to fix what's broken. - You're comfortable operating across time zones with a globally distributed team, including colleagues based in APAC and EMEA. - You hold yourself to a high standard even when no one is watching. Quality and accountability aren't external expectations, they're internal ones. - You say what you mean. You're direct, but you lead with respect. - You connect dots across functions and hold the big picture without losing grip on the details. LEARN MORE ABOUT YOUR TEAM Legal sits at the heart of the decisions that shape how Airwallex grows. This team backs the builders transforming us into a generational financial company, working alongside product, sales, and business partners every step of the way. You'll help shape a global licensing footprint most fintechs wish they had, while keeping our brand and data architecture best-in-class for customers entering the agentic economy and its regulatory demands. The hard part is helping the business move fast on product, revenue, and new-market expansion without compromising the discipline that protects the moat. It's a team for lawyers, strategists, and licensing specialists with commercial instincts, sharp judgment, and an obsession with customer-first outcomes. If you want to guide executive decisions and help build the licensing, structure, and judgment behind what comes next, this is where legal has real leverage.
