Opportunity We are looking for an experienced, fully qualified Company Secretary to join our Finance and Tax team and support Brunswick’s international operations. This is a senior role at the heart of Brunswick’s governance framework, providing trusted advice to the Board of Directors and senior leadership. The Company Secretary will lead our corporate governance and regulatory compliance activities, ensuring Brunswick maintains high standards of governance and meets its obligations under the UK Corporate Governance Code and Companies Act 2006. Reporting to the Head of International Tax, the role will work closely with the Group Financial Controller and other senior colleagues across the firm, providing thoughtful, pragmatic guidance on governance and corporate matters. We are open to considering part-time or flexible working arrangements for the right candidate. About the Role Your key responsibilities will include: Board and governance - Support the effective operation of the Board, including preparing agendas and papers, drafting minutes, tracking actions and ensuring appropriate follow-up. - Act as a key point of contact for executive and non-executive directors on governance matters. - Manage the forward calendar and terms of reference for the Board and its committees. - Ensure the Board operates in accordance with the Articles of Association, shareholder arrangements, the Companies Act 2006 and other relevant governance and regulatory requirements. - Keep the Board and senior colleagues informed of relevant developments in corporate governance and regulation. Committee support - Provide company secretarial support to the Audit & Risk Committee. - Attend committee meetings and prepare accurate and timely minutes. - Track actions and support appropriate follow-up. Shareholder matters - Maintain the shareholder register and oversee quarterly updates presented to the Board. - Prepare and coordinate communications and documentation for shareholders. - Work with the Head of International Tax to support partners on shareholder and share-related matters. Annual General Meeting - Manage the end-to-end delivery of the Annual General Meeting. - Prepare notices and supporting documentation. - Coordinate communications with shareholders. - Manage meeting arrangements and prepare minutes. Share buy-backs - Coordinate the documentation and approvals associated with share buy-backs. - Manage relevant filing and record-keeping requirements. Corporate documentation and records - Draft resolutions, letters and other corporate documentation for entities and transactions across the Group. - Maintain accurate and up-to-date statutory books and corporate records for the Group’s subsidiaries using Diligent. - Maintain authorised signatory records. - Own and maintain the Group structure chart. Statutory filings and compliance - Manage the Group’s Companies House filings, including confirmation statements and other statutory returns. - Ensure filings are completed accurately and on time. - Maintain oversight of filing deadlines and other company secretarial obligations across the Group. Corporate transactions - Lead the company secretarial and governance aspects of corporate and commercial transactions. - Support matters including entity closures, share conversions and Group restructurings. - Work closely with Legal, Finance, Tax and other colleagues to ensure transactions are appropriately documented and implemented. Advice and stakeholder support - Provide thoughtful and pragmatic corporate governance advice to directors, Finance, Legal and other senior stakeholders across the firm. - Support in-house Legal colleagues on company secretarial and governance matters. - Work with and provide guidance to Executive Assistants on Board governance and administration. KYC - Coordinate KYC requests relating to directors and senior management. - Ensure relevant information is accurate, current and provided efficiently. What We’re Looking For We are looking for someone who brings: - Significant corporate secretarial experience, typically gained over 6–8 years, with experience working in a UK-listed, highly regulated or complex international environment. - Strong knowledge of the UK Corporate Governance Code, Listing Rules and Companies Act 2006, combined with the judgement to apply this expertise thoughtfully and pragmatically. - Excellent written and analytical skills, with the ability to listen carefully, identify what matters and capture complex Board and executive discussions in clear, accurate and considered minutes. - High emotional intelligence and strong interpersonal skills, with the confidence and judgement to build trusted relationships across executive and non-executive leadership while maintaining discretion and impartiality. - Fellowship or Associate status with the Chartered Governance Institute (CGI, formerly ICSA) is required. - A legal degree or professional qualification as a solicitor would be an advantage.
