Position Summary:
The Corporate Counsel provides broad legal support across EasyPost, with a primary focus on corporate legal matters. This role will partner closely with business leaders across the company to provide practical, business-focused legal guidance, manage risk, and facilitate the company's growth and strategic initiatives.
The Corporate Counsel will support corporate governance, board matters, M&A support, entity management, regulatory filings and compliance, and equity plan administration. Additionally, the Corporate Counsel will support other legal matters, including a broad range of commercial agreements, disputes , intellectual property, and other specialized legal matters. This position is an important partner to Sales, Product, Finance, and other cross-functional teams and requires strong judgment, executive presence, negotiation skills, and the ability to balance legal risk with business objectives.
Essential Duties and Responsibilities:
The essential functions include, but are not limited to the following:
o Provide day-to-day legal counsel and strategic guidance on a broad range of corporate and general legal matters.
o Support corporate governance matters, including board meetings, board materials, minutes, resolutions, and related corporate records.
o Assist with M&A activities, including legal due diligence, transaction support, and coordination with internal stakeholders and outside counsel.
o Manage and support regulatory and SEC filings, entity management, and other corporate compliance requirements.
o Support administration and management of the company's equity plans and related legal matters.
o Draft, review, negotiate, and advise on a broad range of commercial agreements, including revenue, vendor, partnership, and other business contracts.
o Partner with Sales, Product, Finance, and other cross-functional teams to structure and facilitate business transactions while appropriately managing legal and commercial risk.
o Provide legal guidance as EasyPost develops and launches new products, services, and strategic partnerships.
o Serve as a trusted legal partner to business leaders, providing practical and actionable advice rather than simply identifying legal obstacles.
o Manage and coordinate outside counsel on litigation, disputes, trademarks, intellectual property, and other specialized legal matters.
o Identify opportunities to improve legal processes, templates, and workflows to support a growing business.
o Develop strong relationships with internal and external stakeholders and communicate complex legal issues clearly to a variety of audiences.
o Be a strong collaborator and business partner who contributes across the organization and helps the company move quickly while managing appropriate risk.
Minimum Education & Experience Qualifications:
o Juris Doctor (J.D.) degree from an accredited law school.
o Admission to and good standing with at least one U.S. state bar.
o 5+ years of relevant legal experience, with meaningful in-house experience required.
o Experience working at a technology company, preferably a mid-sized or larger organization with exposure to corporate governance and complex business operations.
o Experience with corporate governance, board matters, M&A due diligence, regulatory/SEC filings, equity plans, and general corporate matters.
o Experience drafting, reviewing, and negotiating commercial contracts, including revenue, vendor, and partnership agreements.
o Law firm experience in addition to in-house experience is a plus.
o Familiarity with HIPAA, privacy, or healthcare-related legal matters is preferred but not required.
o Strong business judgment and the ability to provide practical, solutions-oriented legal advice.
o Strong negotiation skills and executive presence, with the ability to influence and collaborate effectively with senior leaders.
o Ability to manage multiple priorities and work independently in a fast-paced, evolving technology environment.
o Excellent verbal and written communication skills.
o Strong organizational skills and attention to detail.
o Ability to assess and communicate legal and business risks clearly and recommend practical paths forward.
o Comfortable working collaboratively across Sales, Product, Finance, and other functions.
o Ability to manage outside counsel effectively and determine when specialized legal expertise is required.
