Role purpose:
- This role will be based in Singapore and will support STACK Infrastructure’s APAC business across markets including Australia, Japan, Malaysia and Singapore.
- This role will support STACK Infrastructure APAC on development, construction, procurement, long-lead equipment, operations vendor contracting and project delivery workstreams.
- The role is intended to provide dedicated legal coverage for the project execution side of the business: building the asset, procuring the equipment and services required for the asset, and supporting the contracts needed to operate the asset once live.
- The successful candidate will work closely with the General Counsel, development / delivery team, engineering team, procurement team, operations team, finance team, project managers and external counsel across APAC.
Key responsibilities: The role will cover:
Development and construction
- Support legal review, drafting and negotiation of construction and delivery contracts across APAC.
- Review and negotiate early contractor involvement agreements, advance orders, letters of intent, letters of award, GC contracts, demolition contracts, substation contracts, core & shell contracts, MEP fitout contracts, works contracts, design contracts and consultant appointments.
- Support review of delivery-stage issues, including variations, delay, EOT, LDs, defects, payment disputes, notices, practical completion, handover, commissioning and claims avoidance.
- Support project teams on contract interpretation and risk management during delivery.
- Escalate material legal, commercial, delivery, claims, bankability or termination issues to the General Counsel.
Procurement and long-lead equipment
- Support procurement and vendor contracting for long-lead equipment and OFCI procurement.
- Review and negotiate MSAs, order forms, supply contracts, supply-and-install contracts, services contracts and vendor terms.
- Support procurement of generators, chillers, switchgear, electrical equipment, mechanical equipment, spares, fuel and other critical data centre equipment and services.
- Advise on title and risk transfer, delivery risk, delay remedies, warranties, defects, acceptance, testing, liquidated damages, security, insurance, liability, termination and supplier insolvency risk.
- Maintain procurement templates, playbooks and fallback positions.
Construction ancillary and financing-related documents
- Support review of construction ancillary documents, including tripartite deeds, cooperation deeds, insurance policies, performance bonds, parent guarantees, novation agreements, statutory declarations, completion / handover certificates and collateral warranties.
- Support project finance flow-downs into GC, construction, procurement and operations contracts.
- Work with the General Counsel and finance team to ensure relevant project documents are financeable and compatible with lender requirements.
- Track key deliverables needed for financing CPs, such as executed project documents, insurance, bonds, consents, certificates and ancillary documents.
Operations vendor contracts
- Support operations-stage vendor contracts, including critical equipment maintenance services agreements, operations services agreements, manpower services, MEP scheduled maintenance, managed services, general housekeeping, security services, cleaning services, spare parts supply, fuel supply, customer works, minor works and site services contracts.
- Advise on service levels, KPIs, service credits, maintenance obligations, renewal / termination, vendor default, access control, safety obligations, incident support and customer-impacting operational issues.
- Support alignment between operations vendor obligations and customer commitments, SLAs, site rules, security requirements and live-site risk.
Ideal candidate profile: We are looking for a lawyer with:
- Approximately 8+ years’ PQE, although we are open to strong candidates outside that range.
- Strong front-end construction, infrastructure, engineering, procurement, projects or development experience.
- Experience with GC contracts, D&C contracts, EPC contracts, works contracts, services contracts, supply contracts, supply-and-install arrangements, consultant appointments or major procurement contracts.
- Exposure to construction delivery issues such as variations, EOT, LDs, defects, payment, completion, handover and claims management.
- Experience in data centres, infrastructure, industrial projects, logistics, real estate development, or major construction projects would be preferred.
- Familiarity with project finance interface, lender requirements, direct agreements, performance bonds, insurance and bankability would be highly attractive.
- Ability to support technical, engineering, delivery, procurement and operations teams.
- Strong drafting, negotiation and contract interpretation skills.
- Practical commercial judgment and ability to separate legal risk from delivery / commercial risk.
- Ability to operate independently while escalating material deviations to the General Counsel.

- Construction / infrastructure / projects teams at major law firms.
- In-house legal teams at data centre platforms, construction companies, infrastructure developers, industrial platforms, telecoms infrastructure companies, real estate developers or engineering / EPC contractors.
